Terms Governing the Use of SAIORA Software, Dashboards, and Connected Services

These Application Terms of Use govern access to and use of software applications, reporting dashboards, integrations, connected services, and related technology solutions provided by SAIORA IT Techno Inc.

1. Acceptance of Terms

These Application Terms of Use ("Terms") apply to software applications, reporting dashboards, integrations, connected services, portals, and related technology solutions provided by SAIORA IT Techno Inc. ("SAIORA", "we", "us", or "our").

By accessing, authorizing, connecting to, or using a SAIORA application or connected service, you agree to these Terms on behalf of yourself and, where applicable, the business or organization you are authorized to represent.

If a separate written agreement, statement of work, subscription agreement, managed service agreement, or other contract exists between SAIORA and the customer, that agreement will also apply. Where there is a direct conflict, the applicable written agreement will govern to the extent of that conflict.

2. License and Authorized Use

Subject to these Terms and any applicable agreement, SAIORA grants the customer a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the applicable software or service for the customer's authorized internal business purposes.

Use may be limited by the number of authorized users, subscription term, licensed modules, deployment environment, customer organization, or other conditions specified in the applicable agreement.

No ownership rights in the software, source code, application design, frameworks, integrations, or other SAIORA intellectual property are transferred to the customer unless expressly agreed in writing.

3. User Accounts and Access

Customers are responsible for ensuring that application access is provided only to authorized users and that user credentials are appropriately protected.

  • Users must not share passwords or authentication credentials improperly
  • Access should be removed when a user no longer requires the service
  • Customers must notify SAIORA of suspected unauthorized access where relevant
  • Customers are responsible for information entered, approved, or accessed by their authorized users

SAIORA may suspend or restrict access where reasonably necessary to protect the application, customer environment, connected services, or other users from security threats, misuse, or unauthorized activity.

4. QuickBooks Online and Other Connected Services

Certain SAIORA applications may integrate with third-party services such as QuickBooks Online, Microsoft services, business systems, databases, or other platforms when authorized by the customer.

Authorization

The customer is responsible for ensuring that the person authorizing a connected service has sufficient authority to grant the requested access on behalf of the applicable business or account.

Where QuickBooks Online is connected, authentication and authorization are performed through Intuit's authorization process. SAIORA does not require the customer to provide its QuickBooks Online account password to establish the connection.

Purpose of Integration

Connected-service data may be retrieved, synchronized, processed, or displayed only to provide the functions enabled for the customer, including reporting, business intelligence, analytics, reconciliation support, financial visibility, integration, synchronization, or related application functions.

Where a SAIORA application is configured as a read-only reporting solution, the application is intended to retrieve and analyze information and does not intentionally create, modify, or delete accounting transactions unless the customer has separately authorized such functionality.

Customer Responsibility

Customers remain responsible for reviewing and validating accounting, financial, operational, and reporting information before relying on it for business, tax, legal, accounting, investment, lending, or management decisions.

5. Customer Data and Privacy

As between SAIORA and the customer, the customer retains its rights in data and business information provided to or made available through the applicable service, subject to third-party rights and applicable law.

The customer authorizes SAIORA to access, process, transmit, store, and use customer information only as reasonably necessary to provide, secure, maintain, troubleshoot, support, and improve the contracted service.

The handling of personal information and connected-service information is further described in our Privacy Policy .

Depending on the customer's deployment architecture, synchronized business data may be stored on infrastructure designated or controlled by the customer, including on-premises servers.

6. Security Responsibilities

SAIORA uses reasonable technical, administrative, and organizational controls appropriate to the services provided. Customers also have responsibilities for maintaining the security of their environments.

Customer responsibilities may include:

  • Protecting user credentials and administrative accounts
  • Maintaining appropriate endpoint, network, and physical security
  • Applying required software, operating-system, and security updates
  • Using supported devices, browsers, networks, and operating systems
  • Restricting access to authorized personnel
  • Maintaining appropriate backup and recovery processes where those services are not provided by SAIORA
  • Promptly reporting suspected security incidents affecting the application or connected accounts

No system, network, application, or transmission method can be guaranteed to be completely secure.

7. Prohibited Use

Users must not use SAIORA applications or services to:

  • Access systems, accounts, or information without authorization
  • Attempt to bypass authentication, authorization, licensing, or security controls
  • Introduce malware, malicious code, or harmful content
  • Probe, scan, exploit, or interfere with systems except where expressly authorized for legitimate security services
  • Copy, reverse engineer, decompile, disassemble, or attempt to derive source code except where permitted by applicable law
  • Resell, sublicense, distribute, or provide the application to unauthorized third parties
  • Use the application in violation of applicable laws, regulations, contractual obligations, or third-party rights
  • Use connected-service data for unlawful, fraudulent, deceptive, or unauthorized purposes

SAIORA may suspend access where reasonably necessary to investigate or stop suspected prohibited activity.

8. Intellectual Property

SAIORA and its licensors retain all rights, title, and interest in the software, source code, application architecture, designs, interfaces, documentation, workflows, reports, templates, trademarks, service marks, and other intellectual property owned or developed by SAIORA.

Customer-specific data remains subject to the customer's applicable rights. Custom development ownership or licensing terms may be governed by a separate written agreement.

9. Availability, Maintenance, and Support

SAIORA aims to provide reliable applications and services but does not guarantee uninterrupted or error-free availability unless a specific service level has been agreed in writing.

Availability may be affected by scheduled maintenance, emergency maintenance, Internet connectivity, customer infrastructure, third-party systems, software updates, security events, power failures, telecommunications issues, or other circumstances outside SAIORA's reasonable control.

Support scope, response expectations, maintenance services, subscriptions, and service levels are governed by the applicable customer agreement where one exists.

10. Third-Party Services

SAIORA applications may rely on or integrate with third-party products, services, APIs, software, networks, or infrastructure.

Third-party services are governed by the applicable third party's own terms, privacy policies, availability commitments, and security practices.

For example, QuickBooks Online and related services are provided by Intuit. SAIORA does not control Intuit's services, APIs, account availability, feature changes, rate limits, outages, or independent business practices.

SAIORA is not responsible for failures or changes originating solely from a third-party service outside SAIORA's reasonable control.

11. Suspension, Disconnection, and Termination

Access to an application or service may end when the applicable subscription, agreement, project, or authorization ends.

SAIORA may suspend or terminate access where reasonably necessary due to:

  • Expiration or termination of the applicable service agreement
  • Material breach of these Terms or another applicable agreement
  • Security risks or suspected unauthorized use
  • Non-payment where permitted by the applicable agreement
  • Legal or regulatory requirements
  • Customer request

Customers may request disconnection of supported connected services, including QuickBooks Online. Customers may also revoke third-party application access through the applicable provider where that capability is available.

Following termination or disconnection, customer data will be handled in accordance with the applicable agreement, our Privacy Policy, legal obligations, backup cycles, and reasonable operational requirements.

12. Disclaimers and Limitation of Liability

SAIORA applications, reports, forecasts, dashboards, calculations, and integrations are intended to support business visibility and operational decision-making. They do not replace professional accounting, tax, legal, investment, financial, or regulatory advice.

Customers are responsible for independently reviewing important business and financial information before making decisions based on application output.

To the maximum extent permitted by applicable law, SAIORA will not be liable for indirect, incidental, special, punitive, exemplary, or consequential damages, or for loss of profits, revenue, business opportunity, goodwill, or data arising from use of or inability to use an application, except where such limitation is prohibited by law.

Any additional warranties, remedies, limitations, or liability terms contained in an applicable written customer agreement will also apply.

13. Governing Law

Unless otherwise stated in an applicable written agreement, these Terms are governed by the laws of the Province of British Columbia and the applicable federal laws of Canada, without regard to conflict-of-law principles.

Subject to any dispute-resolution provisions in an applicable agreement, disputes relating to these Terms will be subject to the jurisdiction of the courts of British Columbia, Canada.

14. Changes to These Terms

SAIORA may update these Application Terms from time to time to reflect changes in our applications, services, integrations, legal requirements, security practices, or business operations.

Material revisions will be reflected on this page by updating the "Last Updated" date.
